Mutual Confidentiality & Information Stewardship Agreement
ALKHEM-ION Founding Cell — Célula Madre · Per Auset, Egypt · July 28 – August 3, 2026

Preamble
This Agreement is not a bureaucratic formality. It is a founding act of trust.

The Célula Madre brings together fourteen specialists and a core team who will share, over the course of one week and the months that follow, some of the most sensitive information each of us holds: the legal and financial architecture of our organizations, the intellectual depth of our work, the personal data we entrust to each other, and the emerging framework of a system we are building together for the first time.

For this co-creation to be real — for honesty and transparency to be possible — every person at the table must know that what they share will be held with care. This Agreement creates that container. It protects everyone equally: Ontos Foundation, the ALKHEM-ION system as it takes form, and each individual specialist.

By signing, you are not submitting to a legal mechanism. You are making a commitment to the people in the room with you.

The Parties
This Agreement is entered into between Ontos Foundation — a nonprofit organization registered in the State of Oregon, USA, which holds and stewards the ALKHEM-ION process during this founding phase — and each Co-Creator who signs this Agreement.

The Agreement is mutual and reciprocal. The obligations it creates apply equally to Ontos Foundation and to each Co-Creator. Every party is both a keeper and a beneficiary of this Agreement.

1. What We Are Protecting
"Protected Information" means any non-public information shared within the context of the ALKHEM-ION Founding Cell process — before, during, or after the Egypt gathering — including:

From Ontos Foundation to Co-Creators: Legal structures, financial models, funding strategies, institutional agreements, and operational data of Ontos Foundation; the ALKHEM-ION system architecture, TOKiON economic design, governance frameworks, and all foundational documents shared through this portal or during the founding week.

From Co-Creators to Ontos Foundation and to each other: Personal and professional data provided during registration; business models, proprietary methodologies, client relationships, financial situations, and organizational strategies that specialists share in the course of their participation; any sensitive personal information disclosed in the course of the gathering.

Co-Created during the founding week: All documents, frameworks, protocols, and ideas that emerge from the collective work of the Célula Madre — which together constitute the beginning of the ALKHEM-ION system — protected until formally released.

2. Our Shared Commitments
Each signatory — whether Ontos Foundation or Co-Creator — commits to: (a) hold all Protected Information in confidence, with the same care they would apply to their own most sensitive information; (b) use Protected Information only for the purposes of the ALKHEM-ION founding process; (c) not disclose Protected Information to any person outside the Célula Madre without prior written consent from the originating party; (d) take reasonable measures to prevent accidental disclosure — including in digital communications, file sharing, and public spaces; (e) notify the relevant party promptly if they become aware of any actual or potential breach of this Agreement.

3. Intellectual Property & Authorship
All intellectual property brought into the founding process by each party remains exclusively their own. This Agreement does not transfer ownership of pre-existing work.

All intellectual property generated collectively during the founding week and the integration period — including refined documents, protocols, governance frameworks, and system designs — belongs to the ALKHEM-ION system, stewarded by Ontos Foundation during this founding phase and by the system itself as it matures.

Authorship is always recognized. Every Co-Creator's substantive contribution will be documented and credited in all materials where it appears. Recognition of authorship is a permanent commitment — not contingent on continued participation.

4. What This Agreement Does Not Cover
These obligations do not apply to information that: (a) was already publicly known at the time of disclosure, through no action of the receiving party; (b) was already in the receiving party's possession before being shared in this context; (c) is independently developed without reference to Protected Information; (d) is required to be disclosed by law or court order — in which case the disclosing party will give prompt notice to the affected party where legally permitted.

5. Duration
This Agreement takes effect on the date of signature and remains in force for three (3) years, or indefinitely for information that constitutes trade secrets or sensitive personal data under applicable law. Expiration of this Agreement does not affect authorship recognition, which is permanent.

6. If Something Goes Wrong
We expect trust. We also acknowledge that misunderstandings happen. If a breach occurs — whether accidental or otherwise — the first response will always be direct communication between the parties involved, in the spirit of the restorative principles that underpin the ALKHEM-ION system. Legal remedies remain available to all parties as a last resort, but are not the first tool we reach for.

7. Governing Law
This Agreement is governed by the laws of the State of Oregon, United States of America, consistent with Ontos Foundation's registration as a nonprofit in Oregon, without regard to conflict of law provisions.
