Mutual Confidentiality & Information Stewardship Agreement
ALKHEM-ION Founding Cell — APIS ALKHEM · Per Auset, Egypt · July 28 – August 3, 2026
Preamble
This Agreement is not a bureaucratic formality. It is a founding act of trust.
The APIS ALKHEM brings together specialists and a core team who will share, over the course of one week and the months that follow, some of the most sensitive information each of us holds: the legal and financial architecture of our organizations, the intellectual depth of our work, the personal data we entrust to each other, and the emerging framework of a system we are building together for the first time.
For this co-creation to be real—and for honesty and transparency to be possible—every person at the table must know that what they share will be held with care. This Agreement creates that container. It protects everyone equally: Ontos Foundation, the ALKHEM-ION initiative as it takes form, and each individual Co-Creator.
By signing, each party commits to stewarding information responsibly and honoring the trust placed in them by the people in the room.
The Parties
This Agreement is entered into between Ontos Foundation, a nonprofit organization organized under the laws of the State of Oregon, USA ("Ontos Foundation"), and each Co-Creator who signs this Agreement.
The Agreement is mutual and reciprocal. Every party is both a recipient and a discloser of Protected Information and is entitled to the protections afforded herein.
Protected Information
"Protected Information" means any non-public information disclosed before, during, or after the ALKHEM-ION Founding Cell process, whether communicated orally, visually, electronically, audiovisually, experientially, or in writing, including:
(a) Information disclosed by Ontos Foundation, including legal structures, financial models, funding strategies, governance frameworks, operational information, institutional agreements, system architecture, TOKiON economic design, foundational documents, and related materials.
(b) Information disclosed by Co-Creators, including personal information, business models, methodologies, client relationships, financial information, organizational strategies, proprietary know-how, and personal disclosures made during the process.
(c) Information generated collectively during the Founding Cell process, including documents, frameworks, protocols, governance structures, system designs, and other collaborative work product.
Shared Commitments
Each party agrees to: (a) hold Protected Information in confidence using at least the same degree of care used to protect its own confidential information; (b) use Protected Information solely for purposes related to the ALKHEM-ION founding process; (c) not disclose Protected Information to any third party without prior written consent of the originating party; (d) take reasonable measures to prevent unauthorized disclosure; (e) promptly notify the affected party of any actual or suspected unauthorized disclosure.
Notwithstanding the foregoing, disclosure may be made to legal counsel, accountants, tax advisors, auditors, or other professional advisors, provided such persons are subject to confidentiality obligations.
Intellectual Property & Authorship
All intellectual property, proprietary methodologies, materials, systems, content, and know-how owned or controlled by a party prior to participation in the Founding Cell process shall remain the exclusive property of that party.
Collective works generated through the Founding Cell process, including jointly developed documents, frameworks, governance models, protocols, and system designs, shall be stewarded by Ontos Foundation on behalf of the ALKHEM-ION initiative during the founding phase. To the extent necessary to effectuate such stewardship, each Co-Creator assigns to Ontos Foundation any rights they may possess in collective works created jointly through the Founding Cell process, subject to the authorship recognition provisions set forth herein.
Ontos Foundation shall have authority to maintain, develop, refine, implement, publish, license, and otherwise steward such collective works in furtherance of the ALKHEM-ION initiative.
Authorship shall be recognized wherever substantive contributions are incorporated. Recognition of authorship shall be a permanent commitment and shall not be contingent upon continued participation.
Media, Recordings & Documentation
Photographs, audio recordings, video recordings, interviews, presentations, and other media created during the Founding Cell process may contain Protected Information. No participant shall publicly distribute or commercially exploit recordings or media containing Protected Information without appropriate authorization from the affected parties and/or Ontos Foundation. Nothing in this section prohibits participants from retaining personal photographs or recordings that do not disclose Protected Information.
Exclusions
The obligations of this Agreement shall not apply to information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was lawfully known to the receiving party prior to disclosure; (c) is independently developed without reference to Protected Information; (d) must be disclosed pursuant to law, regulation, or court order, provided notice is given when legally permissible.
Return or Destruction of Materials
Upon reasonable request, a receiving party shall return or destroy Protected Information in its possession, except to the extent retention is required by law or reasonably necessary for archival stewardship of the ALKHEM-ION initiative.
Duration
This Agreement shall commence upon execution and remain in effect for three (3) years following participation in the Founding Cell process. Obligations relating to trade secrets, proprietary system architecture, and sensitive personal information shall survive for so long as such information remains confidential under applicable law. Authorship recognition obligations shall survive indefinitely.
Restorative Resolution
The parties acknowledge that trust and relationship are foundational to the ALKHEM-ION process. In the event of a dispute or alleged breach, the parties agree to make a good-faith effort to resolve the matter through direct communication before initiating formal proceedings, except where immediate action is reasonably necessary to prevent harm.
Equitable Relief
The parties acknowledge that unauthorized disclosure of Protected Information may result in irreparable harm for which monetary damages alone may be inadequate. Accordingly, nothing in this Agreement shall prevent a party from seeking injunctive, equitable, or other appropriate relief in addition to any remedies otherwise available at law.
Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Oregon, United States of America, without regard to conflict of law principles.
